1. Parties and Purpose
This License Agreement (“LA”) is a legal agreement between you (the individual or the entity you represent) (“you” or “Customer”) and GD EQUESTRIAN LTD (Company number 14818864, legal address: Dept 5447a 126 East Ferry Road, Canary Wharf, London, United Kingdom, E14 9FP), the operator of templfly.com (“Templfly”, “we”, “us”, “our”, or “Company”). This LA sets out the rights and obligations related to your use of digital templates and other digital assets made available on templfly.com (the “Content” and/or “Products”).
By purchasing, downloading, or using any Content from templfly.com, you agree to be bound by this LA and any licence details shown on the Product page and/or at checkout.
2. Sales Model.
Templfly is the direct seller of the Content. While Content may be sourced from independent creators, your contract for purchase is exclusively with Templfly”
Customer purchases on templfly.com are made from Templfly. For customer purchases, Templfly is the contracting party (merchant of record) and handles customer support, billing questions, refunds (if any), and dispute handling in accordance with our policies and applicable law.
Some Content may be created or contributed by independent creators (“Contributors” or “Collaborators”) under an agreement with Templfly. Contributors are not sellers/retailers/merchants to Customers on templfly.com, and Customers do not purchase Content “on behalf of” or “from” Contributors.
3. Changes to this LA
We may modify this LA from time to time in our sole discretion. Any changes apply prospectively to purchases made after the “Last updated” date (including any automated renewals, if applicable). Where reasonable, we may notify you via email, notices on templfly.com, your account area, or other means. By purchasing or licensing Content after changes take effect, you agree to the updated LA.
4. Licence Types
Unless otherwise stated on the Product page or at checkout, we offer the following standard licence types:
- Non-Exclusive Private Licence (“Private Licence”)
- Non-Exclusive Commercial Licence (“Commercial Licence”)
If you purchase a different licence (e.g., extended, unlimited, buyout), the terms shown at checkout and/or on the Product page will prevail to the extent they conflict with this LA.
5. Licence Grant (General)
Subject to your payment and compliance with this LA, Templfly grants you a non-exclusive, non-transferable, non-sublicensable licence to use the Content worldwide and in perpetuity, only as expressly permitted by the licence you purchased and as limited by this LA and any Product-specific terms.
6. Permitted Use
6.1 Private Licence (Non-Exclusive Private Use)
Under the Private Licence, you may:
- use the Content for personal projects, including a personal website, portfolio, or non-commercial use;
- make reasonable modifications for your permitted use (e.g., editing layout, colors, text, images you own or are licensed to use);
- use the Content in personal branding or non-commercial presentations.
You may not use the Content for client work, resale, or other commercial purposes under the Private Licence.
6.2 Commercial Licence (Non-Exclusive Commercial Use)
Under the Commercial Licence (in addition to the rights in 6.1), you may:
- use the Content for business purposes, including your company website, marketing pages, and commercial presentations;
- use the Content in client projects (e.g., building a website for a client), provided the client does not receive the Content as a standalone template file or editable source files unless expressly permitted;
- use the Content to promote and sell your own goods or services (e.g., as a website design for your business), provided you do not redistribute the Content as a template/product.
Important: The Commercial Licence does not permit you to resell, redistribute, or sublicence the Content as a standalone template, kit, bundle, or “downloadable asset”, except where an explicit licence (e.g., buyout/extended) expressly allows it.
7. Modifications
You may modify the Content as needed for your permitted use. However, modified Content remains subject to this LA. You may not use modifications to circumvent the restrictions in Section 8.
8. Restrictions on Use (All Licences)
Unless expressly permitted by your purchased licence, you must not:
- use the Content other than as expressly allowed by the purchased licence;
- resell, redistribute, provide access to, share, transfer, publish, or make available the Content (modified or unmodified) as standalone files, templates, kits, UI packs, source files, or any similar offering;
- upload the Content to marketplaces, stock sites, repositories, “template libraries”, or any platform where third parties can download, extract, or reuse the Content;
- use the Content in a way that infringes any third party’s intellectual property rights (copyright, trademark, etc.) or violates privacy/publicity rights;
- use the Content as a trademark, service mark, logo, or other indication of origin (or part thereof) unless an appropriate licence expressly permits this;
- falsely represent, expressly or by reasonable implication, that you (or someone other than the copyright holder(s)) created the Content.
8.1 Prohibited contexts for depicted persons (if any)
If any Content includes an identifiable person (“Model”), you must not depict that person in a way a reasonable person would find offensive, including (without limitation) in connection with:
- pornography or adult entertainment;
- promotion of tobacco products;
- political endorsement, campaigning, or political advertising;
- claims of suffering from or medicating for physical/mental ailments;
- immoral or criminal activities.
You are responsible for ensuring your use complies with applicable law and any release/clearance information shown on the Product page.
9. Warranties and Representations
9.1 Our warranties (limited). We represent and warrant that we have obtained from Contributors/licensors the necessary rights to make the Content available and to grant the licence rights described in this LA.
9.2 No other warranties. Except as expressly stated in Section 9.1, the Content is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
10. Indemnification
You will indemnify and hold harmless Templfly, its officers, employees, directors, shareholders, managers, members, affiliates, and suppliers from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- your use of the Content outside the permissions granted by this LA;
- your breach of this LA;
- your modifications of the Content and/or the context in which you use it.
11. Taxes and Fees
Fees are exclusive of taxes unless stated otherwise. Where we are required to collect VAT/sales tax/GST or other transactional taxes under applicable law, you agree to pay such taxes. Where you are required to self-assess or remit taxes under your local laws, you are responsible for doing so.
12. Limitation of Liability
To the maximum extent permitted by law:
- Templfly will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to the Content or this LA.
- Templfly’s total aggregate liability arising out of or related to this LA or the Content will not exceed the amount actually paid by you to Templfly for the applicable Content licence that gave rise to the claim.
Nothing in this LA limits liability where such limitation is prohibited by law.
13. Assignment
You may not assign or transfer this LA or any rights under it without Templfly’s prior written consent. Templfly may assign this LA to an affiliate, successor, or acquirer as part of a merger, reorganization, or sale of assets.
14. Governing Law and Jurisdiction.
This LA and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
15. Miscellaneous
- Authority. If you enter into this LA on behalf of an entity, you represent that you have authority to bind that entity.
- Severability. If any provision is found invalid or unenforceable, the remaining provisions remain in force.
- No legal advice. Any guidance provided by Templfly is for interpreting this LA and is not legal advice.
- No third-party beneficiaries. This LA is for the benefit of the parties only and creates no rights for third parties.
